Terms of Service

You must be at least 18 years old and able to form a binding contract to use the Services. If your organization has a separate written agreement with Ampello for the platform, that agreement governs your use of the platform and controls in the event of a conflict with these Terms.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

You agree not to misuse the Services, including by attempting to access them by unauthorized means, interfering with their operation, reverse engineering, scraping, transmitting malicious code, or using the Services to violate any law or the rights of others.

As between you and Ampello, you retain ownership of the data your organization submits to the platform. You grant us a limited license to host, process, and display that data solely to provide and improve the Services, consistent with our Privacy Policy and any applicable customer agreement.

Access to the platform is provided on a subscription basis under the plan and pricing agreed with your organization. Fees, billing frequency, and renewal terms are set out in your order or customer agreement. Except as required by law, fees are non-refundable.

The Services, including all software, text, graphics, and trademarks, are owned by Ampello or its licensors and are protected by intellectual property laws. Except for the rights expressly granted to you, we reserve all rights in and to the Services.

The Services may link to or integrate with third-party websites and services that we do not control. We are not responsible for the content, policies, or practices of any third party, and your use of them is at your own risk.

The Services are provided “as is” and “as available” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or secure.

To the maximum extent permitted by law, Ampello and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits or revenues, whether incurred directly or indirectly. Our total liability for any claim arising out of or relating to the Services will not exceed the amounts paid by your organization for the Services in the twelve months preceding the claim.

You agree to indemnify and hold harmless Ampello and its affiliates from any claims, liabilities, damages, and expenses arising out of your use of the Services or your violation of these Terms.

We may suspend or terminate your access to the Services at any time if you violate these Terms or if we discontinue the Services. Upon termination, the provisions of these Terms that by their nature should survive will survive.

These Terms are governed by the laws of the State of Utah, without regard to its conflict-of-laws principles. Any disputes will be resolved in the state or federal courts located in that jurisdiction.

We may modify these Terms from time to time. We will post the updated Terms on this page and revise the “Last updated” date. Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
